1. Introduction

These Terms & Conditions (“Terms”) govern your access to and use of:

  • Our website at https://wpventra.com (the “Website”); and

  • Our WordPress plugins and related products and services, including VentraConnect Social Login (free and Pro versions) (collectively, the “Services”).

The Website and Services are operated by WP Ventra (“we”, “us”, “our”).

By accessing or using the Website and/or Services, you agree to be bound by these Terms. If you do not agree, you must not use the Website or Services.


2. Definitions

For the purposes of these Terms:

  • “Website” means wpventra.com and any subdomains.

  • “Plugin” means any WordPress plugin we provide, including VentraConnect Social Login (Free) and VentraConnect Social Login Pro.

  • “Free Version” means the free version of a plugin distributed via WordPress.org or our Website.

  • “Pro Version” means a paid, premium version of a plugin (add-on or standalone) sold and licensed via our payment and licensing provider, Freemius.

  • “Customer”, “you”, or “user” means any person or entity using the Website, installing a Plugin, or purchasing a license.


3. Scope of these Terms

These Terms apply to:

  1. Use of the Website;

  2. Purchase and use of licenses for our Plugins; and

  3. Any related support, updates, and services we provide.

These Terms do not govern Freemius’ own services or legal terms. When you purchase or manage a license via Freemius, you also agree to the legal terms displayed in the Freemius checkout and user dashboard (including Freemius’ Terms of Sale and Privacy Policy).


4. Eligibility

By using the Website or Services, you confirm that:

  • You are at least 18 years old, or the age of majority in your jurisdiction; and

  • You have the legal capacity to enter into a binding contract on behalf of yourself or your organization.

If you are using the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.


5. Accounts and Access

We may provide access to:

  • A customer portal or license dashboard (typically provided via Freemius); or

  • Other authenticated areas on our Website.

You are responsible for:

  • Maintaining the confidentiality of your login credentials; and

  • All activities that occur under your account.

If you suspect unauthorized access to your account, you must notify us promptly at hello@wpventra.com.


6. Products and Licenses

6.1. Free Plugins

Our Free Version plugins (e.g. VentraConnect Social Login Free) are generally distributed under the GNU General Public License (GPL) as required by WordPress.org.

  • You may use the Free Version subject to the applicable open-source license and WordPress.org’s terms.

  • We are not obligated to provide support or updates beyond what we choose to offer, unless otherwise stated.

6.2. Pro Plugins and Licenses

Our Pro Versions (e.g. VentraConnect Social Login Pro) are sold as time-limited licenses (for example, 1 year) for use on a specified number of websites, as indicated at the time of purchase (e.g. 1-site, 5-site, unlimited-site license).

Unless otherwise stated:

  • A license gives you a non-exclusive, non-transferable right to install and use the Pro Version on the number of websites permitted by your license.

  • Licenses include access to updates and support for the duration of the license term.

  • After expiry of the license term:

    • You may typically continue to use the last downloaded version of the plugin on your site (subject to these Terms), but

    • You will no longer receive updates, new features, or support, and compatibility with future versions of WordPress, PHP, or other plugins/themes is not guaranteed.

The exact license details (site count, duration, renewal terms) are those presented at checkout when you purchase.


7. Payments, Pricing & Taxes

7.1. Payment Processing via Freemius

Payments for Pro Versions are processed securely by Freemius, acting as our payment and licensing provider and, in some jurisdictions, as Merchant of Record.

By purchasing a license, you:

  • Authorize Freemius and its payment providers to charge your selected payment method for the total amount shown at checkout (including any applicable taxes).

  • Agree that payment processing, taxes handling, and invoice issuance may be governed by Freemius’ Terms of Sale and policies in addition to these Terms.

We do not store your complete payment card details on our own servers.

7.2. Pricing

All prices for our products and services are:

  • Displayed on our Website or within the Freemius checkout;

  • Subject to change at any time at our discretion.

Price changes do not affect existing active subscriptions until the next renewal term, where permissible by Freemius policies and applicable law.

7.3. Taxes

Freemius may collect and remit taxes (such as VAT, GST, or sales tax) based on your billing address or local regulations. Any such taxes are shown during checkout where applicable.


8. Subscriptions & Renewals

8.1. Subscription Model

Pro licenses are typically sold as subscriptions (e.g. yearly). This means:

  • At the end of each billing period, your subscription may automatically renew unless you cancel it in advance via your Freemius account or as otherwise instructed at checkout.

  • The renewal rate and billing period are displayed at checkout and may be updated for future periods in accordance with Freemius and/or our policies.

8.2. Managing Your Subscription

You can manage your subscription (including cancellations and payment method changes) via the Freemius customer dashboard linked from your purchase email or our Website.

If you cancel your subscription:

  • You will retain access to Pro features, updates, and support until the end of the current paid period.

  • No further renewals will be charged.

  • After expiry, your license will no longer receive updates or support.


9. Refund Policy

We aim to provide clear information, demos, and documentation so you can evaluate our plugins before purchase. However, we understand that not every product will be a perfect fit.

Unless otherwise stated on the product page at the time of purchase, our default refund policy for Pro licenses is:

  • You may request a refund within 14 days of the original purchase date.

  • Refunds are generally granted where:

    • The plugin does not function as described, and

    • You have given us a reasonable opportunity to investigate and resolve the issue, and

    • The issue is not caused by your environment (e.g. conflicts with third-party plugins/themes, server configuration issues, or unsupported customizations).

We do not typically offer refunds for:

  • Change of mind after significant use;

  • Issues caused by unsupported modifications or conflicting third-party code;

  • Renewals (unless required by applicable law or explicitly stated otherwise);

  • Purchases made solely for evaluation where sufficient information (including plugin description and documentation) was reasonably available prior to purchase.

Refunds, when approved, are processed via Freemius using the same payment method used for the purchase, where possible.


10. Your Responsibilities

When you use our Plugins on your website(s), you are solely responsible for:

  • Your website’s content, users, data, and compliance with applicable laws (including privacy, data protection, and cookie laws).

  • Implementing appropriate security measures on your site (backups, user access control, etc.).

  • Ensuring compatibility with your chosen themes, plugins, and hosting environment.

  • Informing your users about how you process their data, including how any third-party services (such as Freemius, if applicable) are used.

Our Plugins may process or interact with data (e.g. login data, user accounts) within your own WordPress installation. You remain the data controller for that data as far as your own users are concerned.


11. Third-Party Services (including Freemius)

Our Services may rely on third-party providers such as:

  • Freemius for payments, licensing, and optional analytics;

  • Email, helpdesk, or analytics tools;

  • Other WordPress plugins or integrations.

We do not control and are not responsible for the terms, policies, or availability of these third-party services. Your use of any third-party service is subject to its own terms and policies, including:

  • Freemius: https://freemius.com/ and the legal documents displayed at checkout and within their customer dashboard.

By using our Pro Plugins and purchasing a license, you acknowledge that:

  • You may be subject to Freemius’ legal agreements in addition to these Terms; and

  • Some functions (such as license validation, update delivery, and subscription management) may become unavailable if Freemius or other third-party services are unavailable.


12. Intellectual Property

Unless otherwise stated:

  • The Website, our brand names, logos, and all original content (text, graphics, designs) are owned by WP Ventra or our licensors and are protected by applicable intellectual property laws.

  • Our Pro Plugins (excluding any open-source components licensed separately) are licensed, not sold. You obtain a limited license to use them, not ownership of the code.

You may not:

  • Claim ownership of our products;

  • Redistribute, resell, or sublicense Pro Plugins outside the scope of your license;

  • Remove or obscure copyright notices, trademarks, or licensing information.

Nothing in these Terms grants you any rights to our trademarks or trade dress without our prior written consent.


13. License Restrictions

You agree not to:

  • Use Pro Plugins on more sites than allowed by your license;

  • Share license keys publicly or with unauthorized third parties;

  • Attempt to circumvent licensing, subscription checks, or other technical restrictions;

  • Reverse engineer, decompile, or disassemble the Pro Plugins, except where expressly allowed by applicable law;

  • Use the Services for any unlawful, harmful, or abusive purposes.

We reserve the right to suspend or terminate licenses and access to updates/support if we reasonably believe these restrictions are being violated.


14. Support & Updates

14.1. Support

For Pro licenses:

  • We provide email or ticket-based support during the active license term.

  • We aim to respond within a reasonable timeframe but do not guarantee immediate or specific response times.

  • Support covers:

    • Installation and setup assistance;

    • Troubleshooting and bug reports;

    • Clarifications on plugin features and configuration.

  • Support does not include:

    • Custom development or feature implementation;

    • Debugging unrelated third-party themes or plugins;

    • Server administration or hosting configuration.

For Free Versions:

  • Support is provided at our discretion, typically via the WordPress.org support forums or other channels we indicate.

  • We may prioritize Pro customers.

14.2. Updates

During an active license term:

  • You are entitled to receive updates to the Pro Plugin, including bug fixes and new features, when released.

  • We do not guarantee any specific update schedule or feature roadmap.

We may, at our discretion, discontinue or modify certain features, integrations, or version support (e.g. dropping support for older PHP/WordPress versions) to maintain security and compatibility.


15. Warranty Disclaimer

To the maximum extent permitted by law:

  • The Website and Services (including all Plugins) are provided “as is” and “as available” without any warranties of any kind, whether express, implied, or statutory.

  • We specifically disclaim any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

  • We do not warrant that:

    • The Services will be error-free, secure, or uninterrupted;

    • The Plugins will be compatible with every possible theme, plugin, hosting environment, or configuration;

    • Defects will be corrected within a particular timeframe.

You use the Website and Services at your own risk.


16. Limitation of Liability

To the maximum extent permitted by law:

  • We shall not be liable for any indirect, incidental, consequential, special, or punitive damages, or any loss of profits, revenue, data, or business arising out of or in connection with these Terms, the Website, or the Services.

  • Our total aggregate liability for any claim arising out of or relating to the Services or these Terms shall not exceed the amount you paid for the relevant Plugin or Service in the 12 months preceding the event giving rise to the claim (or, for Free Versions, zero).

Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law.


17. Indemnification

You agree to indemnify, defend, and hold harmless WP Ventra and its owners, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or connected with:

  • Your use of the Website or Services;

  • Your violation of these Terms;

  • Your violation of any applicable laws or third-party rights;

  • Your use of our Plugins on your websites, including any data processing or content you control.


18. Changes to the Website, Services, or Terms

We may, at our discretion:

  • Modify or discontinue any part of the Website or Services (including features of a Plugin);

  • Update these Terms from time to time.

When we update these Terms, we will change the “Last updated” date at the top of this page. If changes are material, we may provide additional notice (e.g. by email or a notice on the Website).

Your continued use of the Website or Services after changes are posted constitutes your acceptance of the updated Terms.


19. Termination

We may suspend or terminate your access to the Services, or your license, if:

  • You materially breach these Terms;

  • You misuse the Services or engage in fraudulent or illegal activity;

  • Required by law or by a court/authority.

Upon termination:

  • Your right to use the Services requiring an active license or subscription may cease;

  • Pro Plugins may continue to function in a limited capacity (where technically possible), but updates and support will cease.

You may terminate your use of the Services at any time by:

  • Uninstalling our Plugins from your websites; and

  • Cancelling any active subscription via Freemius.


20. Governing Law & Disputes

These Terms and any dispute or claim arising out of or in connection with them, the Website, or the Services will be governed by and interpreted in accordance with the laws that apply in the place where WP Ventra is established, except where mandatory laws of your own jurisdiction apply.

If any dispute arises between you and us in relation to these Terms, we encourage you to contact us first so we can attempt to resolve it informally. If we cannot resolve it informally, any formal legal proceedings will be brought in a competent court of appropriate jurisdiction.
